1. Agreement to Terms

By accessing or using Partr ("the Service"), a product of Swift Studio Pty Ltd ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

Partr is an AI-powered image processing platform that provides:

• Batch image processing and AI enhancement
• Hero-Sync algorithm for consistent editing across batches
• Social media image exports
• Cloud storage for processed images
• API access (Pro and Enterprise plans only)
• Image tracking and analytics (Pro and Enterprise plans only)

3. User Accounts

3.1 Account Creation

You must create an account to use the Service. You agree to:

• Provide accurate and complete information
• Maintain the security of your password
• Notify us immediately of any unauthorized access
• Be responsible for all activity under your account
• Be at least 13 years of age

3.2 Account Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms, illegal activity, or at our discretion.

4. Subscription Plans and Billing

4.1 Plans

We offer the following subscription plans:

• Free: 5 images/month, 30-day storage
• Creator ($15/month or $12/month annually): 1,000 images/month, 90-day storage, basic support
• Pro Studio ($49/month or $39/month annually): 5,000 images/month, 365-day storage, Image Tracking, API access, priority support
• Enterprise: Custom pricing and features

4.2 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• Payment is processed securely through Stripe
• You authorize us to charge your payment method for all fees
• Prices are subject to change with 30 days' notice

4.3 Refunds

We offer a 30-day money-back guarantee on all paid plans. After 30 days, no refunds will be provided for partial subscription periods.

4.4 Cancellation

You may cancel your subscription at any time. Your subscription will remain active until the end of the current billing period. Image credits do not roll over to the next billing cycle.

5. Usage Limits and Restrictions

5.1 Image Processing Limits

Your plan determines your monthly image processing limit. If you exceed your limit, you must upgrade your plan or wait until the next billing cycle.

5.2 Prohibited Uses

You may not use the Service to:

• Upload illegal, harmful, or offensive content
• Violate intellectual property rights of others
• Upload images containing nudity or explicit content (except for artistic purposes with proper rights)
• Use the Service for automated scraping or data harvesting
• Attempt to reverse engineer or bypass security measures
• Resell or redistribute the Service without authorization
• Interfere with or disrupt the Service

6. Content and Intellectual Property

6.1 Your Content

You retain all rights to the images you upload ("Your Content"). By uploading Content, you grant us a limited license to process, store, and display your images solely for providing the Service.

6.2 Our Intellectual Property

The Service, including its algorithms, software, design, and branding, is owned by Partr Platform and protected by intellectual property laws. You may not copy, modify, or create derivative works without our permission.

6.3 Data Retention

Images are stored according to your plan's retention period. After this period, images are permanently deleted and cannot be recovered.

7. API Usage (Pro and Enterprise Only)

If you have API access, you must:

• Keep your API keys secure and confidential
• Comply with rate limits and usage quotas
• Not share or resell API access
• Follow our API documentation and best practices

8. Service Availability

While we strive for high availability, we do not guarantee uninterrupted service. We may:

• Perform scheduled maintenance with advance notice
• Experience unexpected downtime
• Modify or discontinue features at any time

Enterprise plans include a 99.9% uptime SLA guarantee.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE:

• Error-free or uninterrupted service
• Specific results from image processing
• Compatibility with all devices or browsers
• That your images will meet your expectations

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARTR PLATFORM SHALL NOT BE LIABLE FOR:

• Loss of data, profits, or business opportunities
• Indirect, incidental, or consequential damages
• Damages exceeding the amount you paid in the past 12 months

11. Indemnification

You agree to indemnify and hold harmless Partr Platform from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload to the Service

12. Governing Law

These Terms are governed by the laws of Australia. Any disputes shall be resolved in the courts of Australia.

13. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or service notification. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
